The Role:
JFLCO has experienced steady growth in AUM, the number portfolio company investments, and regulatory requirements. This has expanded the volume and complexity of corporate legal matters handled within JFLCO, its portfolio companies and coordinated with external counsel. JFLCO is creating this Legal Assistant role to support the Managing Director Legal, Administration, & Compliance David Rattner.
The Legal Assistant will focus primarily on assisting in the management of the workflow of legal matters within the firm with special emphasis upon corporate governance matters and documentation related to the portfolio companies. The position will report directly to the Managing Director Legal, Administration, & Compliance.
Responsibilities:
General
* Assist the MD Legal, Administration, & Compliance in the management of all legal matters under his purview.
* Maintain a master calendar capturing all legal matters, board obligations, deadlines, and related documents.
* Coordinate with external counsel on matters they are handling for JFLCO.
Funds and Portfolio Companies:
* Maintain schedule and agenda for portfolio company board meetings.
* Draft board resolutions for portfolio company board meetings as required.
* Maintain board minutes for portfolio company board meetings.
* Maintain Director and Officers appointments and resignations.
* Prepare and maintain library of corporate documents including LLC, Articles, LPAs, Minutes, Equity documents, Debt agreement
* Work with portfolio companies to prepare equity agreement and maintain capitalization tables and option records.
* Assist as needed on transaction issues related to portfolio company acquisitions, add-on acquisitions, asset sales, exits, and capital markets transactions.
* Assist in the formation, maintenance, and dissolution of corporate entities and maintain related documents.
Management Company:
* Assist in coordination of fundraising activities.
* Review and organization of commercial contracts as needed.
* Support SEC compliance requirements.
* Review filings.
* Support Compliance activities; review quarterly reports and other LP materials. Work for compliance to review quarterly reports.
* Support response to SEC queries or audit as applicable.
* Other tasks as assigned.
Qualifications
* Bachelor s degree
* Minimum of 4 years of legal assistant/paralegal experience in Private Equity, Mergers and Acquisitions or Capital Markets
* Experience in law firm or financial services firm is strongly preferred
* Extensive experience related to corporate governance matters
* Excellent oral and written communication skills
* Strong attention to detail
* Skilled at managing multiple priorities and tracking a number of interrelated details
* History of establishing and maintaining good working relationships within and outside the firm
* Ability to handle confidential information sensitively and discreetly
* Proficient in Microsoft Office software: Advanced knowledge of Excel preferred
* Skilled in use of web-based equity tracking software [Carta, Shareworks, etc.]
Reporting:
* The position will report directly to the Managing Director Legal, Administration, & Compliance

* New York, N.Y. and Washington, DC
