Role Overview
The Integration Office is seeking a Human Resources (HR) Lead for Mergers & Acquisitions (M&A) to manage the HR due diligence and integration processes for acquisitions. This position sits within the Integration Office and reports to the COO for M&A. The HR Lead for M&A will collaborate closely with the COO for M&A, the broader Integration Team, the HR team, and acquisition Target HR lead(s). This position requires an ability to engage directly with prospective targets’ HR lead(s) to identify HR-related risks, mitigation strategies, and integration plans. This role requires a strategic, collaborative, and solution-oriented mindset.
Responsibilities include:
· Project Management
o Develop and maintain a standard, detailed project plan for the HR-related diligence and integration tasks aligned to the overall M&A project plan, including key milestones, key cross-functional collaboration points, timelines, and responsible parties
o Tailor the standard project plan for each acquisition
o Drive the execution of due diligence and integration activities against the pre-defined project plan
o Proactivity identify and mitigate timeline and other risks
· HR Due Diligence
o Review key diligence areas, including:
§ HR Compliance
§ Policies
§ Staffing & Personnel
§ HR Systems
§ Employee Benefits, 401k, and associated costs
o Facilitate due diligence discussions with Target HR lead(s)
o Identify risks, associated mitigation strategies, and detailed action plans, in collaboration with Target, HR, and other functional areas
o Develop HR Diligence Reports and associated products
· HR Integration
o Collaborate with the Target, HR, and other functional areas to:
§ Develop a holistic, comprehensive integration plan, including key milestones, key cross-functional collaboration points, timelines, and responsible parties
§ Execute against integration plan
§ Identify and mitigate timeline risks
o Facilitate retrospectives with the Target to identify process improvements
· Synergy Identification & Tracking
o Establish cost benchmarks and other KPIs to support the M&A and Finance teams’ understanding of the one-time and ongoing costs of HR and benefits
o Collaborate with the M&A and HR teams to identify possible synergies and/or cost increases from the integration of the Targets
o Document the timeline KPIs that quantify the impact of anticipated synergies on budgets and workload
o Monitor identified synergies over time
· External Vendor Management
o Vendor management for due diligence
§ Identifying when an external vendor(s) is appropriate for due diligence based on workload considerations
§ Overseeing the quality and timeliness of vendor deliverables
o Vendor management during integration
§ Collaboration with external vendors of to complete HR integration
§ Management of external vendors from target companies to integrate contracts into standards of service
Requirements
· Bachelor’s degree in organizational behavior, organizational psychology, HR studies, business management or a similar related field
· 7+ years of HR experience
· Previous experience leading HR diligence and integration projects
· Previous project management experience
· Previous experience working on cross-functional teams
· Excellent written and verbal communication, strong executive presence, and facilitation and presentation skills
· Strategic, collaborative, and solution-oriented mindset
· A proven ability to foster trust-based relationships
· Ability to travel 25% – 35%
· Nice-to-have: previous experience in the insurance industry
Job Type: Full-time
Pay: $75,000.00 – $125,000.00 per year
