We offer a wide range of financial solutions, including investing, banking, advice and education, and retirement services.**KEY RESPONSIBILITIES AND DUTIES:****AGC & Assistant Corporate Secretary**Protects an organization’s legal interest and maintains its operations within the scope established by law.**Key Responsibilities and Duties**+ Identifying and analyzing legal issues, drafting key documents, presenting clear recommendations, and assuring legal compliance.+ Advising senior management on a wide variety of legal matters, providing support on commercial concerns, negotiations, and regulatory issues across a broad range of legal subjects.+ Overseeing and ensuring conformance with all regulatory compliance requirements.**Qualifications**+ 5 Years Required; 7 Years Preferred+ University (Degree), Preferred**Physical Requirements**+ Physical Requirements: Sedentary Work**Career Level**8ICRequired Qualifications Section:+ 5 years’ experience of Corporate Secretary experience within Financial Services+ JD Required+ Licensed to practice law in a state or territory of the U.S. or eligibility to register as in-house counselPreferred Qualifications Section:+ JD Required+ Licensed to practice law in a state or territory of the U.S. or eligibility to register as in-house counsel+ Minimum 5 years corporate secretarial experience, preferably with both domestic and non-U.S entities+ Minimum 4 years subsidiary management experience+ Minimum 3 years’ experience working directly with boards of directors+ Financial services experience preferred+ Managerial experience preferred+ Knowledge of NYSE and Sarbanes-Oxley Independence and Governance requirements, a plus.The ideal candidate will be highly organized, have meticulous attention to detail and accuracy, and a demonstrated ability to produce high quality work products in a fast-paced, high volume environment with minimal amounts of supervision.Additional Position Details:+ The oversight of, and corporate governance support for a large portfolio of legal entities, including the preparation and review of organizational documents, resolutions, consents, etc.+ Legal entity maintenance and optimization projects.+ Overseeing and preparing regulatory filings.+ Board and Committee meeting planning and execution: Liaise with directors in the agenda planning process, interact with presenters to solicit, review and provide comments on meeting materials, prepare draft resolutions and meeting materials, assemble and distribute meeting materials, attend Board and Committee meetings and prepare minutes.+ Board governance: Ensure compliance with and fulfillment of board governance principles, committee charters and legal matrices; Facilitate periodic reviews and updates of governance documents.+ Organization and execution of shareholder meetings, and preparation of proxy materials.#TIAAPotential Salary: $194,900.00 USDActual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location.
