# Corporate Counsel
## Job Summary
A Corporate Counsel is an integral role in supporting an organization’s operations and success by providing sound legal advice, exercising problem solving skills, and building trusted relationships with key business clients. The Corporate Counsel will have responsibility for a multitude of legal management functions with an emphasis on commercial construction contract review and risk management.
## Responsibilities
* Serve as a critical partner with business unit leadership in the negotiation of contracts, subcontracts, contract dispute resolution, change order negotiations and other legal agreements.
* Draft agreements that minimize risk and maximize legal rights
* Conduct risk analysis related to contract provisions
* Provide proactive, timely, high-quality analysis and pragmatic advice on legal, contract and business issues.
* Anticipate issues and estimate risks strategically
* Provide legal advice and counsel and manage outside counsel representing the organization in legal proceedings.
* Collaborate with other members of the management team to align departmental strategy or direction with the overall goals of the organization.
* Provide legal guidance to support compliance initiatives across the Company.
* Draft and conduct internal legal training
* Provide legal advice and services on issues concerning the rights, obligations, and risks of the company
* Manage outside counsel, including with transactions and litigation matters
* Partner with General Counsel and Deputy General Counsel on internal governance policies
* Identify proactive solutions that will eliminate or mitigate risks
* Participate in the definition and development of corporate policies, procedures, and programs.
* Drafts letters relating to contract administration and other issues for project teams to send to subcontractors, clients and other third parties
* Build effective working relationships, influence, negotiate, and drive organizational engagement with ability to be flexible and adapt quickly to the changing needs of the organization and work closely with key strategic alliance partner(s) for projects that are being jointly developed
* Create associations of trust and respect with key stakeholders
* Regularly visit construction sites to collaborate with project teams, resolve legal issues and mitigate risk
* Monitor changes in applicable law and advise executive leadership regarding the implications of such changes
* Ensure organizational operations and practices are in compliance with applicable laws and regulations at all times and recommends changes to organizational policies or procedures with the goal of minimizing risk.
* Monitor and review updates in the law, driving necessary changes within the organization for compliance and risk mitigation.
## Qualifications
* Juris Doctorate from an accredited law school required
* Current license in good standing to practice law, admitted to Minnesota State Bar
* If licensed elsewhere, must obtain Minnesota State license within 12 months.
* 5+ years of proven expertise in construction law
* Additional experience in corporate law, compliance and mergers and acquisitions is preferred.
* 5+ years of proven track record of consistently and positively relating to people at all levels in an organization and maximizing external relationships.
* 5+ years of experience in advising and an interacting with senior executive leaders, including those with strong or diverse personalities or approaches.
* Comprehensive knowledge of construction law and contracts
* Experience in managing claims and dispute resolution, including contract and change order disputes, mediations, arbitrations, and lawsuits

* Pay Range: $129,292 – $193,938 per year
The actual salary offer will vary by candidate based on a wide range of factors such as specific skills, qualifications, experience, and location.
